Nexloads Logistics LLC
1. Scope of Services
Nexloads Logistics LLC ("Company," "we," "our," or "us") provides professional administrative and independent truck dispatching services to independent motor carriers ("Carrier"). Nexloads Logistics LLC acts strictly as an authorized independent agent for the Carrier to source freight, negotiate transportation rates with licensed freight brokers or shippers, and handle operational paperwork. Nexloads Logistics LLC is NOT a licensed freight broker, freight forwarder, or motor carrier, and does not hold itself out as such.
2. Carrier Compliance & Warranties
By executing our dispatcher-carrier agreement or utilizing our services, the Carrier represents, warrants, and maintains that:
- The Carrier holds active and lawful operating authority issued by the Federal Motor Carrier Safety Administration (FMCSA) and the Department of Transportation (DOT).
- The Carrier maintains all legally required insurance coverages, including a minimum of $1,000,000 in Commercial Auto/General Liability and a minimum of $100,000 in Cargo Insurance.
- The Carrier's drivers are properly licensed, drug-tested, and fully qualified under applicable federal and state logistics regulations.
3. Load Acceptance & No Forced Dispatch
Nexloads Logistics LLC operates strictly on a No Forced Dispatch policy. We will present available load options to the Carrier based on the preferred lanes and rate criteria provided by the Carrier. The final decision to accept, book, or reject any freight option rests solely with the Carrier. Once the Carrier authorizes Nexloads Logistics LLC to execute a Rate Confirmation on their behalf, the Carrier assumes full operational and legal responsibility for the transport of that shipment.
4. Payment Terms, Fees, & Invoicing
The Carrier agrees to pay Nexloads Logistics LLC for dispatching services rendered based on the specific percentage or flat-fee structures outlined in the executed Carrier Packet agreement. Payments are handled as follows:
- Nexloads Logistics LLC will issue electronic invoices promptly following load execution or delivery. All invoices are due immediately or within the specified billing cycle timeframe.
- Nexloads Logistics LLC will handle the submission of delivery documents (BOLs, Rate Cons) to the Carrier's designated factoring company or direct broker for billing.
- Nexloads Logistics LLC is not responsible for broker or shipper non-payment, credit drops, or factoring rejections. The service fee due to Nexloads Logistics LLC remains fully payable regardless of external collection delays.
5. Non-Circumvention
The Carrier explicitly agrees that it will not bypass, circumvent, or eliminate Nexloads Logistics LLC by directly soliciting or entering into transportation agreements with freight brokers, shippers, or receivers that were originally introduced to the Carrier by Nexloads Logistics LLC. This restriction applies during the active service period and for a period of one (1) year following the termination of services with Nexloads Logistics LLC. Breach of this clause entitles Nexloads Logistics LLC to full commission recovery and applicable legal remedies.
6. Limitation of Liability & Indemnification
Nexloads Logistics LLC assumes zero financial or operational liability for occurrences on the road or logistics performance. The Carrier agrees to protect us under the following limits:
- Nexloads Logistics LLC is completely exempt from liability regarding cargo shortage, damage, theft, vehicle accidents, delays, property damage, or fines issued by the FMCSA, DOT, or law enforcement.
- The Carrier agrees to defend, indemnify, and hold harmless Nexloads Logistics LLC, its officers, and employees from any and all claims, damages, judgments, and legal expenses arising out of the Carrier’s operations or transport execution.
7. Termination of Services
Either party may terminate the dispatch service relationship at any time by providing written notice via email. Upon termination, any active or pre-booked loads currently managed by Nexloads Logistics LLC must be completed by the Carrier under standard terms, and all outstanding dispatch service invoices must be settled in full within 48 hours.
